The Race to the Bottom and Student Participation: The Director Compensation Project

The Race to the Bottom prides itself on being a collaboration between students and faculty.  The site began with one faculty member and six entrepreneurial students.  Since then membership has grown significantly, both in the number of student and faculty contributors.  As The Race to the Bottom matures, students join through a traditional candidacy program, something that includes blue book exercises.  The recent candidacy program resulted in an increase in the number of students, with over ten new contributors

In introducing new students to the posting process, the Race to the Bottom has decided to embark on a Director Compensation Project.  Over the next few weeks we will be examining the independence requirements of the stock exchanges and the compensation paid to directors and CEOs.  Students will write posts that focus on the specific compensation paid to these individuals, with the information taken from the most recent proxy statements of over thirty companies in the Fortune 500.  The first three will include Travelers, American Express and United Technologies.

You should also have your students look at the related parties transactions on the proxy. It will show if there is any other connections that the "independent" directors have to the company.
